Morgan T. Jones | Shareholder

Professional Experience

Morgan is a shareholder in McDonough’s Real Estate Practice Group. He specializes in banking, with a particular emphasis on financing transactions and workouts, and real estate. His practice also has included various corporate matters and domestic and international business transactions.

Before joining McDonough in 1999, Morgan was Manager of the California Law Division, which he established in 1993, and Senior Corporate Counsel of U.S. Bancorp. Before that, he was a partner at Morrison & Foerster.

Banking and Finance

Lending

Morgan’s lending practice has included numerous large, complex transactions (including loans to $250,000,000 and workouts to $500,000,000), as well as extensive representation of lenders with high volume lending programs.

Real Estate Financing

Morgan’s real property secured finance practice includes all types of commercial lending transactions, such as construction loans, combination loans, take-out and permanent loans, leasehold mortgage loans and credit enhancements, involving all types of security properties (such as multi-family and affordable housing projects, residential tract developments, raw land, shopping centers, office buildings, hotels and industrial properties).

He has represented clients in complex multi-property and multi-state financing transactions, foreign currency denominated loans, various intercreditor relationships (including buy-sell and tri-party agreements, participations, and syndications), equity participation and convertible mortgage loans, whole loan sales, securitizations and conduit loans.

Commercial Finance

Morgan’s commercial finance practice includes all types of personal property and mixed collateral secured lending transactions, as well as workouts and restructurings.

Workouts, Restructurings and Foreclosures

Morgan’s practice includes representation of lenders in workouts, restructurings and enforcement of all types of real estate and commercial financings.

Other

Morgan regularly represents issuers of letters of credit as credit enhancement for bond issuances. He has extensively counseled financial institutions on retail lending, regulatory compliance, operations and corporate matters. He also has represented mortgage bankers and others in various aspects of mortgage banking transactions (including commercial and consumer mortgage warehousing lines of credit and licensing issues).

Real Estate

Morgan’s real estate practice encompasses representation of investors, developers and corporate real estate users in all areas of commercial real estate, including acquisitions and dispositions of all types of commercial real property, exchanges, ground and occupancy leases, construction law, partnerships (including partnership workouts), residential tract and commercial development, and environmental law aspects of real estate transactions.
