McDonough Holland & Allen's Business Services practice group attorneys counsel and represent a diverse clientele of private and publicly held companies, tax-exempt and nonprofit organizations, professional service providers, family businesses and individuals.

Banking & Finance
The practice is comprised of a multidisciplinary group of attorneys experienced in representing foreign and domestic commercial banks, savings and loan associations, mortgage banking companies, credit unions and other financial service companies in a wide range of transactional, litigation and creditor’s rights, compliance, operations, legislative and trust matters.
Bankruptcy
Our Bankruptcy group provides advice and representation in all aspects of insolvency and bankruptcy law and related issues. Our practice is unique in that our attorneys also are experienced in representing public agencies and governmental entities, both as creditors in bankruptcy cases and as financially distressed debtors in non-bankruptcy workouts.
Business Law
Our core group of business and tax attorneys advise clients on all phases of business organization and operations, providing assistance in business formation, reorganization and exit strategies, as well as financial issues. Our lawyers frequently serve as general counsel, providing ongoing advice and corporate maintenance programs. Mergers and acquisitions are a mainstay of this practice area. We advise clients on all aspects of entering into contractual arrangements as part of a comprehensive business strategy. Our business attorneys are skilled at resolving shareholder and partner disputes prior to litigation.
Corporate Securities
The attorneys in this group advise clients on issues specifically concerning business and securities matters affecting both public and private companies, including private placements of securities. In today’s increasingly regulated business climate, we provide comprehensive business knowledge and extensive securities and capital market expertise, including corporate responsibilities issues raised by the Sarbanes-Oxley Act, that will benefit both publicly-held and private companies.
Estate Planning/Probate
As Sacramento’s largest and most sophisticated estate planning, trust and probate law practice, we have a well-deserved reputation for handling large and complex estates with the specialized tax expertise necessary to minimize estate taxes, gift taxes, generation-skipping taxes, income taxes and property taxes. Our estate planning group prides itself on developing creative solutions to help clients achieve their estate planning goals. Government Relations
As one of the largest law firms in California's capital city, McDonough Holland & Allen has developed an expertise in administrative agency law and in dealing with the state and federal governments. The firm represents many national and international corporations in their dealings with governmental agencies, both in adjudicatory and legislative/rulemaking contexts as well as in day-to-day regulatory compliance. In addition, MHA represents several state agencies as special counsel.
Intellectual Property
Our IP group advises clients on patents, trademarks, copyrights, trade secrets and other intellectual property issues for both transactional and litigation matters. The group’s transactional services meet the needs of technology, life sciences companies and individual entrepreneurs, emerging businesses and the arts community. Our attorneys have experience in negotiating and drafting license agreements, including software development contracts. Our patent attorneys prepare and prosecute patent and trademark applications. Litigation services include litigation of patent, trademark and copyright infringement claims in both state and federal courts. In addition, we litigate federal and state unfair competition claims and have particular expertise in resolving franchise disputes.
International
McDonough is pleased to offer expertise in both inbound and outbound transactions, as well as licensing agreements, product distribution issues, arbitrations, litigation and international business formations. Our attorneys regularly advise foreign-based companies on domestic tax and business set-up issues, particularly in our home state of California.
Nonprofit and Exempt Organizations
We counsel a wide variety of nonprofit and tax-exempt organizations—including trade associations, public charities and private foundations—on the governance and tax issues unique to these entities.
Tax Planning
McDonough's tax expertise encompasses all aspects of federal and California tax planning, mergers, acquisition, sales transactions and dissolution of businesses. McDonough's tax lawyers are expert in representing its clients in controversies or litigation before the Internal Revenue Service, Franchise Tax Board, and the State Board of Equalization. The tax lawyers also have expertise in income, estate and gift, excise, employment, unitary, property, sales and use, individual, partnership and corporate tax. Our Tax group offers a level of expertise unmatched in the Sacramento region. Most of our lawyers have LL.M. degrees in taxation or are Certified Public Accountants. Several of our members were formerly with the IRS Appeals Division, Collection Division and Office of Chief Counsel.
